Agreement to these terms
These Terms & Conditions govern your download, installation, and use of software made available by Mance Music, including free, beta, trial, and full-version releases. By downloading or using the software, you confirm that you have read, understood, and agreed to these terms.
License
Mance Music grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the software for personal or internal business purposes during any applicable trial or license period. The software is licensed, not sold.
Trial and prerelease software
A beta, trial, or other prerelease may be incomplete, contain errors, change without notice, or stop working. Unless a specific offer states otherwise, no payment method is required and no automatic charge occurs when a free trial ends. Prerelease access does not guarantee a future commercial release, continued availability, support, or data compatibility with later versions.
Restrictions
You may not, except where applicable law expressly permits:
- copy, redistribute, sublicense, rent, lease, or resell the software;
- circumvent trial, license, access-control, or security mechanisms;
- reverse engineer, decompile, or disassemble the software; or
- use the software to violate another person's rights or applicable law.
Ownership
Mance Music and its licensors retain all right, title, and interest in the software, website, branding, documentation, and related intellectual property. These terms grant only the limited rights stated above.
Feedback
If you submit product feedback, you grant Mance Music a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, adapt, and incorporate that feedback into products and services without compensation or attribution. You retain ownership of any material that you already owned before submitting it.
Updates and availability
Mance Music may update, replace, suspend, or discontinue software or prerelease access at any time. Updates may be required for continued use. Mance Music is not obligated to provide maintenance, support, or any particular feature.
Disclaimer of warranties
To the maximum extent permitted by law, the software is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Mance Music does not warrant that the software will be uninterrupted, error-free, secure, or compatible with every system or project.
Limitation of liability
To the maximum extent permitted by law, Mance Music will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, projects, profits, revenue, or business opportunity arising from the software or these terms. Mance Music's total liability for any claim will not exceed the amount you paid for the software during the twelve months before the event giving rise to the claim. Some laws do not allow certain exclusions or limits, so those limits apply only to the extent permitted.
Termination
These terms remain in effect until terminated. Your rights end automatically if you breach these terms or when a trial or license expires. On termination, you must stop using and delete all copies of the software, except where continued retention is required by law.
Governing law
These terms are governed by the laws of the State of Rhode Island, without regard to conflict-of-law rules. Any dispute must be brought in a state or federal court located in Rhode Island, unless applicable consumer law requires otherwise.
Changes and severability
Mance Music may update these terms for future downloads or releases. When renewed acceptance is required, the new version will be shown before download. If any provision is found unenforceable, the remaining provisions remain in effect. These terms do not limit rights that cannot legally be waived.
